Sample Data Sharing Agreement (UK)

Parties Involved:

Data Provider: ABC Data Solutions Ltd.

Data Recipient: XYZ Analytics Ltd.

Purpose of Data Sharing:

This Agreement facilitates the sharing of specified personal and non-personal data for analytical and research purposes in accordance with applicable UK data protection laws, including the UK GDPR and Data Protection Act 2018.

Data Description:

The data shared under this Agreement includes anonymized customer transaction records, contact information, and behavioural data as detailed in Schedule A, which can be updated upon mutual agreement.

Data Use and Restrictions:

The Data Recipient shall only use the data for the purposes specified herein and shall implement appropriate security measures to protect the data from unauthorized access, loss, or breach. Data shall not be shared with third parties without prior written consent from the Data Provider.

Security and Confidentiality:

Both parties agree to maintain confidentiality of the shared data and comply with all relevant UK data protection laws, including conducting regular security assessments and breach response procedures.

Duration and Termination:

This Agreement shall commence on the date signed and continue for a period of 12 months, unless terminated earlier by either party with 30 days’ written notice. Upon termination, the Data Recipient shall securely delete or return all shared data.

Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Additional Provisions:

• The parties shall comply with all applicable UK data protection legislation, including the UK GDPR.
• Amendments to this Agreement shall be made in writing and signed by both parties.
